Merchant Terms and Conditions – UMNO Website

These Merchant Terms and Conditions ("Terms") govern your participation as a merchant ("Merchant") on the UMNO website (Website) that is integrated into mobile application ("App") operated by U & I Future Development, UMNO ultimate owner company. By accessing or using the Website as a Merchant, you agree to be bound by these Terms. These Terms and Conditions are our “rules of the road” for accessing and using the Website – they are important, apply to all businesses and merchants, and contain many legal disclosures that you should read carefully. If you do not agree to these Terms, you may not access or use the App as a Merchant.

UMNO Website and UMNO mobile Application (“UMNO”, ‘us”, “our”) and partners (“End User” or “you”) may be referred to throughout these Terms and Conditions individually as a “Party” and collectively as the “Parties”.

1. Registration and Account

   1. 1.1 To become a Merchant on the UMNO App, you must register an account and provide accurate, complete, and up-to-date information as prompted by the registration form.
   2. 1.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify UMNO of any unauthorized use of your account or any other breach of security.
   3. 1.3 Because we do not control the security of the Internet or other networks you use to access the website or communicate with us, we can’t be, and are not responsible for, the security of information that you choose to communicate with UMNO and the Website while it is being transmitted. In addition, UMNO is not responsible for any data lost during transmission.

2. Merchant Responsibilities

   1. 2.1 You agree to accurately represent your special products and prices on the UMNO Website.
   2. 2.2 You are responsible for complying with these Terms, which requires you to (among other things) obtain licences and approvals, set the price of your Items, ensure the quality of your Items, ensure Item descriptions and photos on the UMNO Website are accurate and not misleading, comply with your tax obligations and provide UMNO with accurate information.
   3. 2.3 You are solely responsible for the quality, safety, and legality of the products or services you offer through the Website.
   4. 2.4 You agree to comply with all applicable laws, regulations, and industry standards in connection with your use of the Website.
   5. 2.5 You acknowledge that UMNO reserves the right to review, approve, reject, modify, or remove any content or information provided by you on the Website.

3. Permitted use

   1. 3.1 The Website provides prospective and current merchant partners access to UMNO’s promotion and marketing services that can help your business effectively advertise restaurant specials to new and existing customers through UMNO Website. As a condition of your use of the Website, you agree that:
      1. 3.1.1 you are an individual person at least 18 years of age;
      2. 3.1.2 you possess the authority to create a binding legal obligation;
      3. 3.1.3 your use of the Website will at all times comply with these Terms of Use;
      4. 3.1.4 you must safeguard your password and supervise the use of your account, and understand and agree that you are responsible for the use of your account by anyone you allow to access it;
      5. 3.1.5 you have the right to provide any and all information you submit to the Website, and all such information is accurate, true, current and complete; and
      6. 3.1.6 you understand that UMNO may carry out credit and other checks on you and/or your business.

4. Payments and Fees

   1. 4.1 UMNO may charge fees for the use of its services as a Merchant, which will be communicated to you separately.
   2. 4.2 You agree to pay any applicable fees in a timely manner.

5. Termination

   1. 5.1 UMNO reserves the right to suspend or terminate your account and access to the Website at any time, with or without cause, and without prior notice.
   2. 5.2 Upon termination, you will immediately cease all use of the Website and remove any UMNO branding or content from your premises or marketing materials.

6. Intellectual Property

   1. 6.1 UMNO retains all rights, title, and interest in and to the Website, including all intellectual property rights.
   2. 6.2 You are granted a limited, non-exclusive, non-transferable license to use the Website solely for the purpose of offering your products or services to customers.

7. Indemnification

   1. 7.1 You agree to indemnify, defend, and hold UMNO harmless from any claims, damages, liabilities, costs, or expenses (including attorney's fees) arising out of or related to your use of the Website or breach of these Terms.

8. Limitation of Liability

   1. 8.1 In no event shall UMNO, its ultimate owner company, nor any of their respective employees agents, merchants, partners, third-party content providers or licensors, or any of their officers, directors, employees or agents, be liable for:
      • loss of revenue;
      • loss of actual or anticipated profits;
      • loss of contracts;
      • loss of the use of money;
      • loss of anticipated savings;
      • loss of business;
      • loss of opportunity;
      • loss of goodwill;
      • loss of reputation;
      • loss of, damage to, or corruption of data; and
      • indirect or consequential losses, whether those losses are foreseeable, known, foreseen or otherwise, arising out of or related to your use of the Website, the content, statements and other information contained therein, the products or services accessible though the Website or in connection with these Terms or your use of the Website.
   2. 8.2 You expressly agree that use of the Website is at your sole risk. Neither UMNO, its ultimate owner entity, affiliates nor any of their respective employees, agents, merchants, third-party content providers or licensors, or any of their officers, directors, employees or agents, warrant that use of the Website will be uninterrupted or error free; nor do they make any warranty as to:
      • the results that may be obtained from use of the Website; or
      • the accuracy, completeness, reliability or content of any information (including, but not limited to, product descriptions) provided through the Website.
      • The Website and all content, statements and other information contained on the Website, and products and services accessible or available through the site are made accessible or available on an “as is” and “as available” basis.
      • UMNO hereby disclaims any and all representations, warranties and conditions, whether express or implied, as to the operation of the Website or the content, statements or other information contained on the Website.
   3. 8.4 UMNO will not be liable for any default or delay in the performance of its obligations under these Terms due to acts of God, terrorism, natural disasters, earthquakes, fire, riots, floods, and other similar events, to the extent such event is beyond UMNO’s reasonable control.

9. Governing Law

   1. 9.1 These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

10. Modifications

    1. 10.1 UMNO reserves the right to modify or amend these Terms at any time. Any changes will be effective immediately upon posting on the App. Your continued use of the App after such changes constitutes your acceptance of the modified Terms. You will be told before any change is made that detrimentally affects your rights. You can end this Agreement as a result of a detrimental change without penalty.

By accessing or using the UMNO Website as a Merchant, you acknowledge that you have read, understood, and agree to be bound by these Terms.
